INFLUENCER TERMS AGREEMENT Date: 

1. Campaign: As I _________________, an Independent Contractor, I will provide the following services on behalf of the brand Redlight-Shop.com ("Client"). This Campaign will last ____ days, beginning _________ and ending _________ and the first content should come out within the end of week 1.

2. Termination Clause: Talent and the Client both have the right to terminate this agreement with a fifteen (15) day written notice prior to posting (including via email). Client will be responsible for compensation for any and all completed deliverables prior to this Agreement being terminated. If a deliverable is posted within the fifteen (15) day window of cancellation, the Client will be responsible for paying 100% of the original fee.   

3. Approval Process: The Client will be allotted one (1) round of changes to the video content and one (1) final review for approval. If the Client does not provide feedback within the video publication period, the Talent may choose to postpone the posting date to a time that best suits their schedule up to thirty (30) days of the missed posting date. If Client does not provide feedback on the review within thirty (30) days, Talent will have the choice to not publicize the video and Client will be responsible for paying 100% of the original fee.    

4. Services: I agree to follow any instructions that Client provides, including: 

1. Content:  10-15 seconds of Redlight-shop.com.  Post must remain in the channel for a minimum of 1 year.

2. URLs/discount code and/or #hashtags as provided by Client in the Campaign Brief or via email. 

3. Requirements: 

1. Posts must include the Client provided hashtag(s), discount code and/or link(s) (link to the affiliate)

4. Contact: I will remain in contact with Client, respond to emails in a timely manner, and address any concerns within 48 hours. 

5. Compliance: I will comply with all applicable law, including the addition of #sponsored or #ad on my social media posts and an FTC approved disclosure statement on blog posts. 

5. Fees, Taxes, Termination: 

1. Client will pay me ______, via PayPal method upon agreement between Client and Talent on a date for when campaign requirements will be fulfilled. 

2. Client will pay me ______, via PayPal method when all campaign requirements have been met and all sponsored content have been forwarded to Client. If I do not meet the obligations outlined above, Client can withhold remaining payments. Client reserves the right to cancel this Agreement, and that if this occurs, my obligations cease immediately. 

6. Acknowledgments: I agree that: (i) Client may monitor my social media accounts for compliance and reporting purposes; (ii) Client may use my name, likeness, and social profile links and/or handles in campaign-related correspondence and post-campaign case studies; (iii) all information related to the services I provide or any information, materials or content are confidential information and I agree to protect and not disclose it to any third party; (iv) Client, owns and retains all rights to any information, materials or intellectual property owned by them; (v) I will personally perform all services required; (vi) all my content will be my original work and I will not infringe any third party's rights when providing these services.

I hereby agree to the terms of this Agreement with the intent to be legally bound.
